These Terms constitute the contract between Guugly Wuugly Global Eastt Private Limited, which you accept. (“Company / We / Us”) and the end users accessing the Website (“Users”).

BY CLICKING ON ”I accept”, OR BY ACCESSING THE PLATFORM, YOU ACCEPT, CONSENT AND UNDERTAKE TO BE BOUND BY AND TO COMPLY WITH THESE TERMS.

Any product/service information displayed on the Platform is an “invitation to offer”. Your placing an order to purchase will be your “offer” to purchase and our acceptance of that offer is deemed as a contract between us, subject to the following terms:- Straight will have the right to accept or reject your proposal

1. Eligibility

• The Platform and/or the Services is only available to Users who can form legally binding contracts under applicable law. Your use of the Platform or the Services You confirm to us that you are:

• You are voluntarily, of your own free will and accord, entering into these Terms;

2. Your use of the Platform and Services

• By accessing or using the Platform at any time you accept, without limitation or qualification, these Terms of Use and agree to be bound by the Polices whether or not you have read them.
• You shall not use the Platform and Services for any unlawful or fraudulent purposes, nor will you violate applicable Laws in your use of the Site and during transactions on the Site. You will not do anything that would assist anyone who is or might be violating the security of the Platform, Services or otherwise interfering with (including accessing without authority) other users’ use of the Platform and/or Service.

• You will fill out all forms on the Site with honest and accurate information; and to update such information if it changes any time thereafter. Company reserves the right to verify and validate the information and other details provided by you at any point of time. In the event such details are found not to be true (wholly or partly), Company has in its sole discretion the right to reject the registration and debar you from using Platform and / or other Services provided by Company, present as well as in future on Platform and / or any other affiliated website of Company (“Authorized Third Party Service Providers”) without prior intimation whatsoever.
• You agree not to interfere with, disrupt, or attempt to interrupt the operation of the Platform or the Services in any manner, nor shall you impede or restrict access to the Platform by any other user. We reserve the right, at our sole discretion, to monitor your use of the Platform to ensure compliance with this Agreement.
• You agree to indemnify and compensate Guugly Wuugly for any additional costs incurred due to re-delivery or non-delivery of an order arising from incorrect, incomplete, or inaccurate information provided by you, including but not limited to an incorrect name, address, or contact details.
• Use of this Platform and the Services is unauthorized in any jurisdiction where the provisions of this Agreement are not fully enforceable or permitted under applicable law. You are responsible for ensuring that your access and use of the Platform comply with all applicable local laws and regulations.
• The Platform and the Services are provided solely for personal, non-commercial use. Any commercial exploitation, including but not limited to unauthorized advertising, promotional content, affiliate marketing, resale, or solicitation, is strictly prohibited. We reserve the right to remove such content without prior notice and may suspend or terminate your account for violation of this clause.
• You acknowledge and agree that you shall exercise due care, discretion, and independent judgment before entering into any transaction through the Platform or via any Authorized Third-Party Service Provider. All such transactions are undertaken at your sole risk and responsibility.

3. Privacy practices

We recognize the importance of protecting your personal information and have implemented appropriate measures to safeguard the same. Accordingly, Guugly Wuugly has formulated a comprehensive Privacy Policy that governs the collection, use, storage, processing, and disclosure of your personal information. In addition to these Terms of Use, the Privacy Policy shall govern your access to and use of the Platform. By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agreed to the terms of the Privacy Policy, and you consent to the collection and use of your personal information in accordance with the purposes and practices set forth therein. You further acknowledge and agree that the Privacy Policy may be amended, updated, or modified from time to time at the sole discretion of Guugly Wuugly, in compliance with applicable laws. Your continued use of the Platform following any such amendments shall constitute your acceptance of the revised Privacy Policy. Guugly Wuugly collects, processes, stores, and handles personal data of Users in accordance with its Privacy Policy and applicable laws, including the Digital Personal Data Protection Act, 2023 (DPDP Act, 2023) and the rules framed thereunder.

Personal data is collected only for lawful purposes, processed on valid consent or other lawful grounds, and protected through reasonable security safeguards. Users have the right to access, correct, update, and request deletion of their personal data, subject to applicable legal and contractual obligations.
Any data sharing with third-party service providers is limited to what is necessary for order fulfillment, payments, logistics, analytics, or legal compliance, and such parties are required to follow appropriate data protection standards.

4. Your Account

• This Platform is intended for use by individuals who are legally competent to contract under applicable Indian laws. While the Platform is primarily directed towards adults, any access by a minor shall be strictly under the supervision and consent of a parent or legal guardian. Guugly Wuugly does not knowingly collect personal information from minors.
• You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for restricting access to your device. You agree to accept full responsibility for all activities that occur under your account. Guugly Wuugly shall not be liable for any loss, damage, or unauthorized activity arising from your failure to safeguard your account information.
• You represent and warrant that any information, content, or data provided by you on or through the Platform is accurate, lawful, non-confidential, and does not infringe upon the intellectual property, privacy, or other rights of any third party.
• You agree to provide true, accurate, current, and complete information during the registration process (“Registration Data”) and to promptly update such information to ensure its continued accuracy. Guugly Wuugly reserves the right to suspend or terminate your account and deny access to the Platform, at its sole discretion, if any Registration Data is found to be inaccurate, misleading, incomplete, or in violation of this Agreement.
• In the event you become aware of or reasonably suspect any unauthorized access or breach of your account, you must immediately notify Guugly Wuugly using the contact details provided on the Platform. Upon detection or suspicion of a security breach, Guugly Wuugly may require you to reset your credentials or may temporarily or permanently suspend or restrict access to your account, without incurring any liability.
• If you access or use the Platform on behalf of another individual or entity, you represent and warrant that you have the authority to bind such person or entity to these Terms of Use. In the event such authority is lacking or disputed, you agree to be personally liable for any loss, damage, or harm arising from such use.
• Guugly Wuugly reserves the right, at its sole discretion, to refuse service, restrict access, suspend, or terminate any account without prior notice if these Terms of Use are violated or if such action is deemed necessary to protect the interests of Guugly Wuugly, its users, or the Platform.

6. Product Information

Guugly Wuugly endeavours to ensure that all product descriptions, specifications, images, colours, and other information displayed on the Platform are accurate and up to date. However, Guugly Wuugly does not warrant or guarantee that such content is accurate, complete, reliable, current, or free from errors. Product images are for representational purposes only and actual products may vary in colour, design, or appearance due to photographic limitations, screen settings, or manufacturing variations. The Platform may contain typographical errors, inaccuracies, or omissions, including but not limited to errors relating to product descriptions, pricing, availability, or promotional details. Guugly Wuugly reserves the right to correct, modify, update, or withdraw any information on the Platform at any time, including after an order has been placed, without prior notice. In the event of any error in pricing or availability after an order has been placed, Guugly Wuugly reserves the right to cancel the order and process a refund for the amount paid, without any further liability to the User. In case of cancellation, return, non-delivery, or partial delivery of an order, the User shall not be entitled to re-avail or carry forward any promotional offer, discount, or coupon applied to the original order. Any refund issued shall exclude the value or benefit of such promotional offers or discounts. Where products are purchased under bundled or group offers, including but not limited to “Buy One Get One Free” or “Buy Two Get One Free” promotions, all products forming part of such offer must be returned together to be eligible for any refund or replacement. Refunds or replacements shall be initiated only upon receipt of all products included in the promotional offer. From time to time, Guugly Wuugly may include complimentary samples or gifts with eligible orders. Such free samples or gifts are provided on an “as-is” basis and shall not be eligible for return, replacement, or refund under any circumstances.

8. Title to products

All products shall remain the sole property of Guugly Wuugly until full payment of the order amount has been received and the products have been dispatched. Upon delivery of the products to you, the title and risk of loss shall transfer to you. Until such transfer of ownership is completed, including in the event of a return or replacement, you agree to handle the products with due care and in accordance with our return and exchange policies. The Platform may contain links, images, advertisements, or references to third-party websites, content, or resources. You acknowledge and agree that Guugly Wuugly does not own, control, endorse, or assume responsibility for any such third-party content, products, services, or resources. The inclusion of any third-party links or content on the Platform is provided solely for your convenience and informational purposes and does not constitute an endorsement, sponsorship, or recommendation by Guugly Wuugly. The Company shall not be responsible or liable for the availability, accuracy, legality, or content of any third-party website or resource, nor for any loss, damage, or harm arising from your use of or reliance on such third-party products or services. All intellectual property rights in third-party content, images, logos, or materials displayed on or linked through the Platform belong exclusively to their respective owners. Nothing on the Platform shall be construed as granting any license or right to use such intellectual property without the express permission of the respective third-party owner. Any interaction, transaction, or use of third-party resources accessed through the Platform is undertaken entirely at your own risk. Such use shall be governed by the respective third party’s terms of use, privacy policy, and security practices, which may differ from those of Guugly Wuugly. You are advised to review and understand the applicable third-party policies before engaging with such resources.

9. User Conduct

• While accessing or using the Platform or the Services, you agree to act responsibly, lawfully, and in accordance with these Terms and all applicable laws. You shall not upload, post, publish, transmit, store, modify, or share any information, data, or content (“Content”) that is prohibited under this clause.
• You agree that you shall not use the Platform or the Services to host, display, upload, publish, transmit, or share any Content that:

1. Belongs to another person or entity and to which you do not have any lawful right or authorization.
2. Is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy, hateful, racially or ethnically objectionable, disparaging, or otherwise objectionable in any manner whatsoever.
3. Harms or exploits minors in any way;
4.  Infringes or violates the intellectual property rights of Guugly Wuugly, the Platform, its technology, Services, or any third party;
5. Violates any applicable law, rule, regulation, or governmental order for the time being in force in India or elsewhere;
6. Deceives or misleads any person regarding the origin of messages or communicates information that is grossly offensive, false, or menacing in nature;
7. Defames, abuses, solicits, harasses, stalks, threatens, or otherwise violates the legal rights of any person or entity;
8. Impersonates any individual, entity, or falsely represents your affiliation with any person or organization;
9. Contains software viruses, malware, ransomware, spyware, or any other computer code, file, or program designed to interrupt, destroy, damage, or limit the functionality of any computer resource;
10. Threatens the unity, integrity, defence, security, sovereignty of India, friendly relations with foreign states, public order, or incites the commission of any cognizable offence or prevents investigation of any offence;
11. Engages in or promotes any fraudulent, abusive, deceptive, or illegal activity, including attempts to obtain passwords, financial information, or other confidential data from any person;
12. Reverse engineers, decompiles, disassembles, copies, reproduces, distributes, sells, licenses, modifies, publishes, transmits, or creates derivative works from the Platform or the Services for any commercial purpose without the Company’s prior written consent.
13. Stores, displays, publishes, or transmits any adult, sexually explicit, lewd, or offensive content. The determination of what constitutes “adult or offensive content” shall be at the sole discretion of Guugly Wuugly;
14. Attempts to gain unauthorized access to the Platform, servers, networks, or related systems, including hacking, phishing, or any form of network abuse;
15. Engages in any activity that disrupts, interferes with, or adversely affects the access, availability, or performance of the Platform or the Services for other users.

• You acknowledge and agree that you shall be solely responsible and liable for all actions, omissions, and consequences arising from your use of the Platform and/or the Services. Guugly Wuugly shall not be liable for any loss, damage, or harm arising from your breach of this clause.
• Guugly Wuugly reserves the right to take appropriate action, including removal of Content, suspension, or termination of your access to the Platform or the Services, without prior notice, if it has reasonable grounds to believe that you have violated these Terms or any applicable law.
• You agree to fully indemnify, defend, and hold harmless Guugly Wuugly, its directors, officers, employees, affiliates, and agents from and against any claims, losses, damages, liabilities, penalties, costs, or expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, applicable laws, or your misuse of the Platform or the Services.

11. Transactions

• Guugly Wuugly reserves the right, at its sole discretion, to prescribe or modify a minimum order value for purchases made through the Platform. Any such minimum order value shall be displayed or notified on the Platform at the time of placing the order.
• You represent and warrant that all payment information, including credit/debit card or other payment instrument details provided by you, is true, accurate, complete, and current. You further confirm that you are legally authorized to use the payment method provided and that it is lawfully owned by you.
• Payment details submitted by you shall be used solely for the purpose of processing transactions on the Platform. Guugly Wuugly shall not store, use, or share your card or payment details with any third party except where required for payment processing, fraud detection or prevention, or where disclosure is mandated by applicable law, regulation, or court order.
• Guugly Wuugly shall not be liable for any loss, damage, or consequence arising from unauthorized or fraudulent use of any payment method. The responsibility and liability for any fraudulent transaction shall rest solely with the user, subject to applicable laws, and the burden of proving unauthorized use shall lie with the user.
• While availing any of the payment methods offered on the Platform, you acknowledge and agree that Guugly Wuugly shall not be responsible or liable for any loss or damage arising directly or indirectly from the failure, delay, or decline of a transaction due to any of the following reasons, including but not limited to:

a. lack of authorization for the transaction;
b. exceeding the credit or spending limit agreed between you and your bank or payment service provider;
c. technical or operational issues at the bank, payment gateway, or financial institution;
d. any other reason beyond the reasonable control of Guugly Wuugly.

• Payments on the Platform may be processed through third-party payment gateways or service providers. Guugly Wuugly shall not be responsible for any errors, delays, failures, or disputes arising from the use of such third-party services, which shall be governed by their respective terms and conditions.

12. Fraudulent /Declined Transactions

In the event of any suspected or confirmed fraudulent activity, misuse of the Platform, or declined transactions resulting from unauthorized, unlawful, or improper use of payment instruments, Guugly Wuugly reserves the right to take appropriate action, including but not limited to suspension or termination of the user account. Guugly Wuugly shall further be entitled to recover from the concerned user(s) all costs incurred in connection with such fraudulent or declined transactions, including but not limited to the cost of goods, logistics and collection charges, payment gateway fees, and reasonable legal expenses. Without prejudice to the foregoing, Guugly Wuugly reserves the right to initiate civil and/or criminal proceedings against such user(s) for fraudulent use of the Platform, breach of these Terms and Conditions, or any other unlawful act or omission, in accordance with applicable laws.

13. Advertisements

Guugly Wuugly reserves the right, at its sole discretion, to display, publish, or place advertisements, promotional content, sponsored materials, or publicity materials on the Platform, including those relating to third-party products or services, for commercial or informational purposes. You acknowledge and agree that the inclusion of such advertisements or promotional materials does not constitute an endorsement, warranty, or recommendation by Guugly Wuugly of any third-party products, services, or content. Guugly Wuugly shall not be responsible or liable for the accuracy, legality, or quality of any third-party advertisements or offerings displayed on the Platform.

14. Pricing information

• Guugly Wuugly endeavours to ensure that all product and pricing information displayed on the Platform is accurate and up to date. However, errors may occur due to technical, typographical, or system-related issues. The final price of a product or service shall be confirmed only at the time you place an order.
In the event a product or service is listed at an incorrect price or with incorrect information, Guugly Wuugly reserves the right, at its sole discretion, to refuse, modify, or cancel any order placed for such product or service, unless the product has already been delivered or the service has already been availed by you.
• Your order shall not be deemed accepted until the product has been dispatched or the service has been confirmed. Prior to acceptance, Guugly Wuugly may revise the price, contact you for further instructions using the contact details provided by you, or cancel the order and notify you accordingly.
• In the event any fraudulent or suspicious activity is detected, Guugly Wuugly reserves the right to cancel affected orders and recover any outstanding dues, where permissible under law, including through adjustment against subsequent orders placed by the user.
• Upon acceptance of your order, the applicable amount shall be charged to your selected payment method and you shall be notified of the successful processing of payment. Guugly Wuugly may engage third-party payment service providers to facilitate payment processing.
Payments may be processed prior to dispatch of the products. In the event an order is cancelled after payment has been processed, the amount paid shall be refunded to the original payment method in accordance with applicable laws and the Company’s refund policy.
• All prices, product descriptions, and availability of products or services displayed on the Platform are subject to change at any time without prior notice, at the sole discretion of Guugly Wuugly.

16. Shipping & Delivery terms

• Guugly Wuugly may partner with third-party logistics service providers (“Logistic Partners”) or deliver Products directly to facilitate delivery to Users. Details of the Logistic Partner handling your order will be provided once the Product is handed over. Estimated delivery timelines are as follows:

• 4–6 business days for most serviceable locations,
• 5–7 business days for non-metro and extended service areas, and
• 10–15 business days for remote or hard-to-reach locations.

• These timelines are indicative and may vary due to logistics constraints, weather conditions, regional accessibility, or other factors beyond the reasonable control of Guugly Wuugly.
• Delivery is available only in areas within Guugly Wuugly’s recognized delivery network. Users must provide accurate pin-code details during order placement to verify delivery eligibility. Orders to locations outside the delivery network cannot be processed.
• Users must provide complete, accurate, and detailed shipping addresses, including landmarks. Guugly Wuugly is not liable for failed deliveries resulting from incorrect or incomplete address information provided by the User.

1. A maximum of three (3) delivery attempts will be made. If delivery is unsuccessful after three attempts, Guugly Wuugly reserves the right to cancel the order at its sole discretion.

2. Delivery timelines may be affected due to:
   1. logistical issues beyond Guugly Wuugly’s control
   2. Adverse weather conditions
   3. Strikes, political disruptions, or employee lockouts
   Acts of God such as floods, earthquakes, etc.
   4. Other unforeseen circumstances

In case of delays, Guugly Wuugly will make reasonable efforts to notify the User via email or mobile. Guugly Wuugly shall not be liable for any loss, damage, mental distress, or inconvenience resulting from delivery delays.political disruptions, strikes, employee-lockouts, etc.
• Guugly Wuugly ensures that delivery personnel and Logistic Partner employees adhere to professional standards. However, Guugly Wuugly does not guarantee their conduct and shall not be liable for any discourtesy, impoliteness, or disputes arising between Users and delivery personnel. Any such issues must be resolved directly by the User with the concerned personnel.
• Upon dispatch, Users will receive a unique tracking number to monitor the status of their delivery via the Platform or the Logistic Partner’s system. Guugly Wuugly strives to update tracking information in a timely manner but does not guarantee its accuracy due to real-time updates and technical limitations.
• Shipping fees may be applied to orders below a specified value or for certain payment methods, including cash on delivery. Such charges are non-refundable except where a Product is defective upon delivery, as determined at Guugly Wuugly’s sole discretion. Title and risk of loss of Products pass to the User upon delivery.
• Returns and exchanges will be handled by Guugly Wuugly’s reverse logistics partners or internal delivery personnel. Details are provided in the Return & Refund Policy, which governs such processes.
• By placing an order, Users authorize Guugly Wuugly to collect shipping and delivery fees on behalf of the Logistic Partner. Shipping fees charged are refundable proportionately for returned or cancelled Products.

• Grievance redressal
Any grievances relating to the Delivery Policy may be directed by you to the grievance officer of Guugly Wuugly who can be contacted at care@guuglywuugly.in

20. Limitation of Liability

To the maximum extent permitted under applicable law, Guugly Wuugly, including its directors, officers, employees, affiliates, agents, contractors, licensors, and service providers, shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of profits, revenue, business, data, goodwill, or anticipated savings, arising out of or in connection with your access to or use of the Platform, Services, or any content or materials made available thereon, whether based on warranty, contract, tort, negligence, or any other legal theory, even if advised of the possibility of such damages.
Guugly Wuugly shall also not be liable for any loss or damage arising from errors, inaccuracies, interruptions, delays, viruses, unauthorized access, or omissions in any content, materials, or services provided on the Platform.
Notwithstanding anything to the contrary contained herein, and subject to applicable law, the total aggregate liability of Guugly Wuugly for any and all claims arising out of or relating to the use of the Platform or Services shall be limited to INR 1,000 (Indian Rupees One Thousand only) or the amount actually paid by you for the relevant transaction, whichever is lower.
Nothing in these Terms shall limit or exclude liability to the extent such limitation or exclusion is not permitted under applicable law.

21. Indemnity

You agree to defend, indemnify, and hold harmless Guugly Wuugly, its affiliates, directors, officers, employees, agents, contractors, and service providers from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, penalties, costs, and expenses (including reasonable legal fees and expenses) arising out of or relating to:

1. Your access to or use of the Platform or Services;
2. Your breach or alleged breach of these Terms and Conditions or any other policies referenced herein;
3. Your violation of any applicable law, rule, or regulation;
4. Your infringement or alleged infringement of any intellectual property, privacy, publicity, or other rights of any third party; or
5. Any content, data, or information submitted, posted, transmitted, or shared by you through the Platform.

This indemnification obligation shall survive the suspension, termination, or expiry of these Terms and Conditions and your use of the Platform or Services.

22. Governing Law and Jurisdiction

These Terms and Conditions, and any relationship between you and Guugly Wuugly arising out of or in connection with your access to or use of the Platform or Services, shall be governed by and construed in accordance with the laws of India, without reference to its conflict of law principles.
Subject to the foregoing, Guugly Wuugly shall have the right to initiate proceedings in any court or forum of competent jurisdiction, as may be appropriate. You irrevocably submit to the jurisdiction of such courts or forums.
Notwithstanding anything to the contrary, any legal action, claim, or proceeding initiated by you against Guugly Wuugly shall be instituted exclusively before the competent courts located at Lucknow, Uttar Pradesh, India, and you hereby consent to such exclusive jurisdiction.

23. Severability

If any provision of these Terms and Conditions is held by a court or competent authority to be invalid, illegal, or unenforceable, in whole or in part, such provision shall be deemed severed from these Terms and Conditions to the extent of such invalidity or unenforceability. The remaining provisions shall continue to remain valid, binding, and enforceable in full force and effect.

24. Changes

Guugly Wuugly reserves the right, at its sole discretion, to amend, modify, update, revise, or supplement these Terms and Conditions, and to introduce new or additional rules, policies, or conditions governing the use of the Platform or Services, at any time.
Any such amendments or modifications (“Revised Terms”) shall be published on the Platform and shall become effective from the date of such publication, unless otherwise specified. You are advised to review the Terms periodically to stay informed of any changes.
Your continued access to or use of the Platform or Services after the Revised Terms are posted shall constitute your deemed acceptance of such Revised Terms and agreement to be bound by them.

25. Survival

You acknowledge and agree that all representations, warranties, undertakings, and obligations made by you, as well as the provisions of these Terms relating to indemnity, limitation of liability, intellectual property rights, governing law, confidentiality, and any other clause that by its nature is intended to survive termination, shall continue to remain in full force and effect notwithstanding the expiration, termination, or cessation of these Terms or your access to the Platform or Services.

26. Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any other policies or documents expressly incorporated herein by reference, constitute the entire agreement between you and Guugly Wuugly concerning your access to and use of the Platform and Services. They supersede and replace any prior agreements, understandings, representations, or communications, whether written or oral, relating to the same subject matter.
